CentamilX provides AI-powered virtual employees ("AI Employees") through a hosted platform: you hire AI Employees, brief them, review their work, and approve or reject consequential actions. The service includes the client console, communication surfaces (1:1 chat, boardroom, projects), connectors to third-party services you authorize, storage of your business context, and billing facilities. The service is currently in early access: features evolve, and no service level is guaranteed beyond the commitments on our status page.
You must provide accurate information, keep credentials confidential, and be at least 18 and able to form a binding contract. Workspace passcodes you set are shared credentials for your company: you are responsible for who you share them with. Seats you invite (owner, admin, member) act inside your workspace under your authority; you are responsible for their use of it.
AI Employees are software. They act only on your instructions, your standing preferences, and the approvals you (or rules you configure) give. Outputs may be wrong, incomplete, or inappropriate despite our quality controls: you must review outputs before relying on them, and consequential actions are held for your explicit approval by design. An action you approve, or configure to run without asking, is your action. AI Employees do not provide licensed professional advice (legal, tax, medical, investment); consult a qualified professional before acting on such topics.
You own your business data, the content you provide, and the work product AI Employees produce for you. You grant us the rights needed to operate the service: hosting, processing through AI models, creating derived "memory" your team uses to serve you, and generating usage records. Your team's memory is shaped by your inputs and feedback; it belongs to your workspace and does not train other customers' teams. We access customer content only to operate the service, comply with law, or with your permission; operational metadata (counts, costs, timings, audit events) is visible to CentamilX for governance and billing.
Connectors link your third-party accounts (e.g. Google) to your workspace under scopes you grant. You may disconnect at any time. Your use of connected services stays governed by those services' own terms; you confirm you have the right to connect the accounts you connect.
You will not use the service to break the law, infringe others' rights, send spam or deceptive communications, develop competing models from our outputs, probe or disrupt the platform's security, or misrepresent AI output as human where the law requires disclosure. We may suspend workspaces that endanger the platform or other customers, with notice where practicable.
Pricing is per AI Employee per month, as shown at hire time and on your billing page. Invited early-access companies receive the free period stated in their invitation; afterwards, paid plans bill monthly in advance through our payment processor (card details never touch our servers). Taxes (including GST where applicable) are your responsibility and appear on invoices per your billing profile. Non-payment pauses the workspace: your team stops, your data is retained per §9, and everything resumes on payment.
Cancel anytime, yourself, from the billing page, effective at the end of the paid period, no cancellation fee. Our Refund & Cancellation Policy is part of these terms: monthly fees are not refunded pro-rata; verified duplicate or erroneous charges are refunded in full; platform faults that materially prevent your team from working earn service credits.
After cancellation or free-period expiry, your data, files, and team memory are retained for 90 days so you can return with everything intact; you may request export in a portable format at any time, or deletion at any time (subject to records we must keep by law, and to our audit ledger, which is append-only and retains operational events). After 90 days, data is scheduled for deletion.
We protect customer content with tenant isolation enforced at the database layer, encrypted credentials, access controls, audit logging, and monitoring. No system is perfectly secure; you must promptly notify us of suspected compromise of your account.
We own the platform, AI Employee blueprints, and everything that makes the service run. You receive a non-exclusive, non-transferable right to use the service while your subscription is active. Feedback you give us may be used to improve the service without obligation.
The service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI output is probabilistic; we do not warrant that it is accurate, complete, or suitable for any purpose without your review.
To the maximum extent permitted by law: neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, or data; and our total aggregate liability under these terms is limited to the amounts you paid us in the twelve months before the event giving rise to the claim (or USD 100 if you have paid nothing). Nothing limits liability that cannot be limited by law.
You will defend and indemnify CentamilX against third-party claims arising from: content and data you provide, actions you approve or configure AI Employees to take, your use of connectors, and your breach of these terms. We will defend and indemnify you against third-party claims that the platform itself, used as intended, infringes their intellectual property.
We may suspend or terminate for material breach with notice and a reasonable cure period where practicable, or immediately where required to protect the platform, other customers, or comply with law. We may update these terms; material changes are notified at least 14 days in advance, and continued use after the effective date is acceptance. We will not retroactively reduce your data-retention or refund rights for a period you already paid for.
These terms are governed by the laws of the jurisdiction stated in the ratified version (to be confirmed by counsel: currently anticipated as the United Arab Emirates). Disputes go first to good-faith negotiation via the CentamilX office; unresolved disputes go to the courts or arbitral forum named in the ratified version.
